1. Definitions

• "Company" means PINEPESOFT PRIVATE LIMITED (CIN: U66190DL2025PTC455475).
• "Client" / "You" means any individual or legal entity that accesses the website or engages our services.
• "Services" means web development, mobile application development, software solutions, digital marketing, UI/UX design, and related IT services provided by the Company.
• "Agreement" means these Terms together with any signed Statement of Work (SoW), Service Agreement, or Proposal.
• "Deliverables" means software code, designs, documentation, and any other work product created for the Client.

2. Use of Website

• You must be at least 18 years of age and capable of entering into a binding contract under the Indian Contract Act, 1872.
• You agree not to use the website for any illegal purpose or in a way that violates the Information Technology Act, 2000 or any other applicable law.
• Unauthorised reproduction, distribution, or commercial use of website content is strictly prohibited and may attract liability under the Copyright Act, 1957 and IT Act, 2000.
• We reserve the right to restrict or terminate access to any user who violates these Terms.

3. Service Engagement

All service engagements are formalised through a written Proposal or Statement of Work (SoW) signed between the Client and PINEPESOFT. The SoW shall define scope, timelines, deliverables, payment schedule, and acceptance criteria. These Terms apply to all such engagements unless expressly superseded by a separate written agreement.

4. Payment Terms

• Invoices are payable within the timeframe specified in the SoW or 30 days from invoice date, whichever is earlier.
• A GST-compliant tax invoice will be issued for all payments as per the Goods and Services Tax Act, 2017.
• Late payments attract interest at 18% per annum from the due date.
• The Company reserves the right to pause deliveries until outstanding invoices are cleared.
• All payments are in Indian Rupees (INR) unless otherwise specified in the SoW.

5. Intellectual Property Rights

Upon receipt of full payment of all due amounts:

• Custom code and designs created exclusively for the Client are assigned to the Client.
• PINEPESOFT retains ownership of all pre-existing code, frameworks, libraries, and tools ("Background IP") used in delivering the Deliverables. A perpetual, non-exclusive licence to use Background IP as part of the Deliverables is granted to the Client.
• Open-source components are licensed under their respective licences.
• PINEPESOFT reserves the right to display the project in its portfolio unless a written confidentiality agreement is in place.

6. Confidentiality

Both parties agree to keep confidential all proprietary information exchanged during the engagement. Upon request, a separate Non-Disclosure Agreement (NDA) may be executed. Confidentiality obligations survive termination of the Agreement for a period of 3 years.

7. Limitation of Liability

To the fullest extent permitted under applicable Indian law, PINEPESOFT's total aggregate liability arising from or related to the Services shall not exceed the total fees paid by the Client for the specific project giving rise to the claim in the three (3) months preceding the date of the claim. PINEPESOFT shall not be liable for indirect, consequential, incidental, or punitive damages.

8. Termination

• Either party may terminate the Agreement with 30 days' written notice.
• Upon termination, the Client shall pay for all work completed up to the termination date.
• PINEPESOFT may terminate immediately if the Client breaches these Terms, engages in fraudulent activity, or the Services are misused.

9. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes shall first be attempted to be resolved through good-faith negotiations. If unresolved within 30 days, disputes shall be subject to the exclusive jurisdiction of the competent courts in New Delhi, India.

10. Force Majeure

Neither party shall be liable for delays or failure to perform obligations due to causes beyond reasonable control, including acts of God, natural disasters, war, government regulations, pandemic, or internet infrastructure failures.

11. Amendments

PINEPESOFT reserves the right to modify these Terms at any time. The date of the last update is displayed at the top of this page. Continued use of the website or services after changes constitutes acceptance of the revised Terms.
